1 Independent Consulting Project Proposal Between CLIENT and Paul Millerd / Vivo Strategies LLC Effective Date: 11/18/2020 TERMINOLOGY “Consultant” represents Paul Millerd / Vivo Strategies LLC engaged to deliver the services defined in this Statement of Work (SOW). “Client” represents CLIENT, the organization that will engage with the Consultant for the delivery of services defined herein. “Engagement” represents the full scope of the work that the Consultant will perform for Client under the terms of SOW. SCOPE The scope of the engagement would be to support the CLIENT and work directly with TEAM MEMBER 1 and MANAGER with presentation coaching, data analysis and hands-on consulting work. TEAM / AVAILABILITY Team will be composed of Paul Millerd, who will work closely with TEAM MEMBER 1 in a 1-on-1 coaching relationship and MANAGER, who will provide oversight and guidance. Paul will work remotely with the team for the entire engagement. TIMELINE This engagement timeline will include will include work completed from October 1st until December 31st 2020. SPECIFIC DELIVERABLES Paul will work closely with the team to help them develop workshop materials for their work with COMPANY and specifically will involve 1-on-1 coaching with Team Member 2 on data analysis and storytelling skills. FEES & EXPENSES The fees for this work will be billed at a rate of $100/hour to be billed at the end of each month. Invoices are to be paid within 30 days of receipt of invoice. All fees and expenses will be paid by Client to Vivo Strategies LLC according to the terms of the agreement. ABOUT VIVO STRATEGIES & PAUL MILLLERD RIGHTS The Client shall have full right and ownership to all the work product developed by the Consultant in connection with the Project and the Consultant shall not disclose, sell, or re-purpose the said work product for any other Client. LEGAL OBLIGATIONS Applicable Law This Contract and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of Massachusetts and subject to the exclusive jurisdiction of the federal and state courts located in Boston, MA. IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their duly authorized officers or representatives as of the date first above written.
